These Terms govern access to VentureForge and related Abiogenix products on *.abiogenix.com(the "Services"). By signing in, requesting beta access, or using the Services, you agree to these Terms and our Privacy Policy.

1. Private beta

The Services are provided as an invite-only private beta, "as is," and may change, break, or be withdrawn at any time. Features are experimental. Do not rely on the Services for production-critical or regulated workloads without a separate written agreement.

2. Accounts

You must provide accurate information and keep credentials secure.
You are responsible for activity under your account.
We may suspend or terminate access for abuse, security risk, or Terms violations.
Change temporary invite passwords promptly after first sign-in.

3. Acceptable use

You agree not to:

Probe, scan, or attack the Services or other users
Attempt to bypass invite, entitlement, or authentication controls
Upload malware or unlawful content
Submit others' personal data without a lawful basis and authorization
Resell or sublicense access without our written consent

4. Your content & AI outputs

You retain rights to content you submit. You grant us a license to host and process that content to operate the Services. AI-generated outputs are drafts; you are responsible for reviewing them before any business, legal, or public use. Outputs may be inaccurate or incomplete.

5. Third-party services

The Services may call third-party LLM and infrastructure providers. Their availability and policies are outside our sole control.

6. Confidentiality

Beta features, non-public documentation, and invite credentials are confidential. Do not share access with others without permission.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABIOGENIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM.

9. Indemnity

You will defend and indemnify Abiogenix against claims arising from your content, your use of the Services, or your breach of these Terms.

10. Governing law

These Terms are governed by the laws of the State of Michigan, USA, excluding conflict-of-law rules, unless mandatory local consumer law provides otherwise. Courts in Oakland County, Michigan shall have exclusive jurisdiction, subject to applicable consumer protections.
